Would you like to take on a stimulating, high-impact challenge?  We are looking for a Legal Counsel, Compliance. Please note that the candidate may be based in one of these 4 offices: Montreal, Quebec, Ottawa or Toronto. 

 

 

The role

 

The person holding the position of Legal Counsel, Compliance will report to the Senior Director, Legal Affairs, Transactions (interim). The person plays a crucial role in ensuring that the organization adheres to all relevant ethic and compliance-related laws, regulations, and internal policies, fostering a culture of integrity and ethical behavior. 

 

The responsibilities

 

  • Provide expert guidance on legal and regulatory compliance and ethics matters.
  • Contribute to the design and development, implementation and management of a compliance and ethics program, including policies, directives, and procedures covering, among other areas, privacy, access to information, conflicts of interest, and the fight against bribery and corruption.
  • Develop training content and reporting and other tools and conduct training sessions for staff on compliance and ethics requirements.
  • Advise business functions on data protection and privacy related matters.
  • Conduct privacy impact assessments, when required.
  • Work in close collaboration with the Access to Information and Privacy Office.
  • Analyze declarations of interest and formulate recommendations to mitigate and manage conflicts of interest.
  • Develop and maintain documentation related to compliance activities.
  • Prepare reports on compliance issues and activities.
  • Contribute to risk assessment exercises to identify potential compliance issues.
  • Investigate and resolve reported ethical violations and compliance breaches.
  • Advise senior management on emerging compliance trends and risks.

 

The requirements:

 

  • Bachelor’s degree in law and registered member of the Barreau du Québec and/or of the Ontario Bar Association.
  • Minimum of 4 years of experience as a legal counsel in an in-house position in a corporate or Crown corporation or relevant experience in a law firm.
  • Excellent knowledge and understanding of the relevant legislative framework and of corporate compliance programs.
  • Strong organizational and time management skills.
  • Excellent written and verbal communication abilities.
  • Attention to detail and accuracy in documentation.
  • Strong ethical and compliance culture and capacity to work with highly confidential information.
  • Ability to work collaboratively with senior management and external stakeholders.
  • Great capacity for initiative and taking charge of files, proactive in identifying issues and finding solutions, comfortable working independently and prioritizing files.
  • Analytical and synthesis skills.
  • Excellent ability to adapt to changes.
  • Bilingualism (English and French) is required.
