Would you like to take on a stimulating, high-impact challenge? We are looking for a Senior Director, Legal Affairs, Transactions. This role can be based in any of our offices in Montreal, Toronto, Ottawa, or Québec City, with a preference for Montreal.
The role
In this role, you will report directly to the Vice President, Legal Affairs and support the achievement of the department’s objectives and overall corporate mission.
The responsibilities
- Provide legal advice to the Company's senior management in the areas of infrastructure, P3s, project financing and mergers and acquisitions with respect to the agreements to be put in place with the private development partner.
- Lead and mobilize the 3 Senior legal counsels of the Legal Affairs – Transactions function.
- Oversee the legal aspects of the files assigned to you, including those managed by the Commercial Relations Vice-President, and to this end actively collaborate with the legal advisors of the Company, the private development partner, VIA Rail and Justice Canada.
- Oversee the quality and cost of legal services provided by law firms retained by the Company.
- Draft, revise and negotiate various types of documents including contracts, analyses, presentations, etc.
- Advise colleagues in other vice-presidencies on the legal risks of the project and the Company's obligations and propose solutions to mitigate them.
- Conduct research on specific legal issues.
The requirements
- Law degree and member in good standing of the Quebec or Ontario Bar;
- Minimum of 15 years' professional experience in a similar role with a significant commercial and corporate component in major infrastructure projects. Experience in P3 and linear projects is an asset;
- Excellent leadership and team management skills with a minimum of 5 years of experience managing teams with direct reports.
- Exceptional rigor;
- Excellent interpersonal skills;
- Experience in negotiating and drafting corporate contracts, particularly in corporate mergers and acquisitions and financing;
- Able to work in a team-oriented environment and interact effectively with others;
- Dynamic, resourceful, results-oriented;
- Perseverant, flexible and efficient;
- Bilingualism in French and English, both spoken and written, is an important asset in this role.
