Would you like to take on a stimulating, high-impact challenge? We are looking for a Senior Legal Counsel, Transactions. Please note that the candidate may be based in one of our 4 offices: Montreal, Quebec City, Toronto or Ottawa.
The role
In this newly created position, you will support the Legal Affairs department in achieving its corporate mission. You will report to the Senior Director, Legal affairs, transactions.
The responsibilities
- Provide legal advice to the Company in the areas of infrastructure, P3s, project financing and mergers and acquisitions with respect to the agreements to be put in place with the private development partner and more broadly in the context of the High-Speed Rail project.
- Provide legal advice with respect to the Company’s procurement activities, including by drafting, reviewing and negotiating commercial contracts for the purchase of goods and services.
- Oversee the legal aspects of assigned files, actively collaborate with the legal advisors of the private development partner and of other counterparties, and supervise the quality and costs of legal services rendered by the law firms retained by the Company.
- Draft, revise and negotiate various types of documents, including contracts, analyses, presentations, etc.
- Advise colleagues in other vice-presidencies on the legal risks of the project and the Company's obligations and propose solutions to mitigate them.
- Conduct research on specific legal issues.
The requirements
- Law degree and member in good standing of the Quebec or Ontario Bar.
- Minimum of 10 years professional experience in a similar role with a significant commercial and corporate component in major infrastructure projects. Experience in P3 and linear projects is an asset.
- Exceptional rigor.
- Excellent interpersonal skills.
- Experience in negotiating and drafting commercial and corporate contracts.
- Able to work in a team-oriented environment and interact effectively with others.
- Dynamic, resourceful, results oriented.
- Perseverant, flexible and efficient.
- Bilingualism in French and English, both spoken and written, is an important asset in this role.
