Would you like to take on a stimulating, high-impact challenge? We are looking for an Advisor, Corporate Secretariat. Please note that the candidate may be based in one of our 2 offices: Montreal or Ottawa.
The role
Reporting to the Chief Governance Officer and Corporate Secretary, the Advisor, Corporate Secretariat plays a key role in enabling effective Board and committee operations by coordinating governance activities, preparing and reviewing materials, and contributing analysis and guidance on corporate governance practices and policies.
The responsibilities
- Provide support for board and committee meetings.
- Manage the annual calendar of meetings and oversee meeting planning, including agendas and logistics.
- Review, compile, and proofread meeting materials from internal stakeholders.
- Manage the creation of board and committee books in Diligent.
- Draft governance reports and memos, conduct research, and offer analysis and recommendations, as necessary.
- Coordinate weekly internal executive and management meetings, including agendas and logistics.
- Update corporate registers and minute books.
- Contribute to the development and implementation of policies and initiatives related to corporate governance.
- Assist in monitoring and reviewing Alto governing documents.
- Undertake ancillary tasks to support priorities and objectives of the Governance function.
The requirements
- University degree, college degree in paralegal or legal studies or a related field, or a recognized professional designation (e.g., GPC.D or equivalent).
- Minimum of 5 years' experience in governance, secretariat, project management, or related fields, including providing support to a board or executive management.
- Demonstrated professionalism and discretion when working on board and executive matters.
- Exceptional written and verbal communication skills.
- Excellent organizational and project management skills; able to manage multiple tasks within tight deadlines.
- Proficient with Office 365, including advanced Word and PowerPoint editing skills, and Diligent.
- Bilingualism (French and English) required, with advanced proficiency in English.
